I have a California general partnership that i was supposed to convert to an S Corp. I hired a lawyer to take care of the partnership liquidation and conversion into a corporation. Instead of indicating a straight conversion from a partnership to the corporation (by filing a special form with the Secretary of State), he opened a brand new corporation by filing the regular articles of organization. Now i am in limbo because i don't know what the tax consequences of such position. Now i need to liquidate my partnership, pay capital gains tax and then contribute assets to the new corporation.
