it is just the partnership K-1. The partnership is in CA, the non resident is not.

I understand that the member is located outside of California. What does the partnership do? Does it earn money in California? If the partnership earns money in California the non-resident he or she would have California sourced income.

I have a California general partnership that i was supposed to convert to an S Corp. I hired a lawyer to take care of the partnership liquidation and conversion into a corporation. Instead of indicating a straight conversion from a partnership to the corporation (by filing a special form with the Secretary of State), he opened a brand new corporation by filing the regular articles of organization.
