Deb, based on your numbers it does not look like you would be able to exclude the gain with a 1031 exchange. You would have roughly a $100,000 gain from the sale of the rental property. You received boot (cash) of $100,000. You also received boot in the form of a reduction in liabilities. I would be happy to review your documents if you like.
