Firstly the business case for context: We are conducting business process optimization on the procurement of various types of humanitarian aid relief to the Ukraine. This involves liaising with suppliers from a range of different industries. Currently there is a weakness in legal protection on procurements. As effectively through a lack of procurement experience, payment is being made under the conditions of standard quotes from the supplier. This is highly problematic as often these procurements are finalized for large amounts of funding and entail multiple risks. We quickly require some degree of legal protections that at the very least, could be negotiated with suppliers, and then agreed terms inserted into the supplier's quotes to bolster legal protection before the quote is paid that establishes a contract with the supplier. A generic legal template that can be easily modified for insertion into various supplier's quotes as the basis to a simple procurement contract is required. Some considerations that must be addressed within this generic template must include: • Penalty schedule for each week/month late • A cancellation cut-off clause in case of non-delivery by an agreed date • A payment milestone schedule with multiple time periods that define agreed payment actions at each milestone • The incorporation of payment millstones via an agreed escrow facility • Any agreed to warranty periods Please observe the attached Microsoft Word file, which is the area of the procurement business process flowchart that we are quickly looking to strengthen via legal coverage.
