I just replaced my key batteries in the FOB and now it does not lock or unlock however the car starts?

Those key fob functions need to be programmed in a mercedes shop (does not have to be a dealer, but a specialized shop, so they have the star scan tool).
They should not cost you more than half an hour of labor to reprogram.
PS: the remote locking/unlocking feature is different than the immobilizer feature, that is why the engine is starting, only the remote locking feature is not working.

Before I connect with you on phone, please provide me with more specifics as to what exactly needs to be done with star scan tool? Does it enable us to get and sync the code? Maybe I may need you to recommend a shop locally. Thanks.

No need for the phone connection.
On the star scan tool, they simply enter the central locking module, and they add a new remote, your existing key will be programmed in minutes.
Any mercedes dealer or a Mercedes specialized shop should be able to do this quickly.
