Contracts. I signed a 1-yr contract with AdvancedMD (though
I signed a 1-yr contract with AdvancedMD (though we verbally agreed to 6 or 9 months but I didn't catch the error on the contract I signed), an electronic health records (EHR) and billing service company. During the set-up process, I discovered that Quest Diagostic Lab does not interface with the EHR bc it's too expensive for the lab to integrate with this specific EHR. The sales person didn't tell me that there may be a chance that I wouldn't have interface. He told me to try a different lab, but most of my patients' insurances have Quest as preferred lab (and who knows if another lab will have the same issue). The sales claims that he told me about this possibility, but he didn't-- I would never have signed up with this EHR if I knew this. Secondly, the implementation manager who has been doing my training and setup has been rude and delayed set up and my getting to know features of the product due to her inflexibility.Due to misrepresentation of services, I have notified them that I want to terminate the contract without penalty on either side. They are refusing, and charging me 25% of the 1-year contract, which they calculate to be $6400 in order to be released from the contract. They have provided no services, except training and set-up because I have not even gone live yet.My question is, under Section 8.2 of contract (section 8 pasted section below), can I legally break this contract without penalty?Term and Termination; Effect of Termination.8.1. Unless earlier terminated as provided for herein, following the Initial Term either party may terminate this Agreement at any time by a 90-day written notice (the Termination Period) to the other party. If no renewal term is set forth on the Order Form(s) or an Addendum, then the Initial Term shall automatically renew for additional one-month terms (and the cost for the RCM Services shall be billed at then-current fees or any fees set by AdvancedMD with at least forty-five (45) days advance written notice) until either party gives thirty (30) days advance written notice prior to the end of the then-current term of its intention to terminate this Agreement.8.2. If a party commits a material breach of any representation, warranty, agreement or covenant set forth in this Agreement that remains uncured fifteen (15) days following written notice specifying the nature of the breach and identifying the measures reasonably required to correct the breach, the non-breaching party may terminate this Agreement by written notice to the other party.8.3. If (i) Client has not paid fees due hereunder within ten (10) days following AdvancedMD􀂶s delivery of written notice informing the Client of such non-payment; (ii) AdvancedMD reasonably believes that Client is engaged in any conduct that violates, or could be deemed to violate, any Applicable Law; (iii) Client becomes insolvent, generally stops paying its debts as they become due or seeks protection under any bankruptcy, receivership, trust deed, creditors arrangement, composition or comparable proceeding, or if any such proceeding is instituted against Client and not dismissed within 90 days after commencement of one of the foregoing events; or (iv) Client revokes the authorization given hereunder to withdraw amounts due hereunder from Client􀂶s bank account, then, in any such case, AdvancedMD may terminate this Agreement by written notice to the Client.8.4. Following delivery of a notice of termination pursuant to Section 8.1 or 8.2, this Agreement shall remain in effect until the Termination Date, as follows: (i) Client shall perform charge entry services through the Final Charge Submission Date, and perform all its other obligations hereunder until the Termination Date, and (ii) AdvancedMD shall perform the RCM Services until the Termination Date.
