I want to know if I have a case here. Back I. Back in 2015
Back in 2015 my wife purchased a subway store which was in a mall location. Franchaise agreement states that as a franchaisee we have the full rights to close down the business if we want to do so and all we need to do is to solve all the moneytory matters with the landlord. In the landlords master lease agreement it states that Subway needs to sublease the space to a franchaisee and provide the full information to the landlord so the landlord can grant the full rights to the franchaisee. However Subway never provides our information and assigned us under the original seller as an assignment of the sublease. When we tried to sell the store last year subway blocked our sell by saying the store was failing and they do not intend to renew the lease when there's still 5 years remaining. Furthermore we tried to close the location as we thought it does not make any business sense as subway does not even want this location and we thought we had rights to do so according to the franchaisee agreement. we found out by now from the mall that subway had never provided our information to them thus we had no rights to talk to them or negotiate anything regarding this location. Subway said we had no rights to talk to the mall to close down the location as it's not our lease with the mall and asked us to give them the penalty amount and we can leave or else we need to stay in the lease. This is clearly against the franchaisee ageement as it states we have the rights to close the store. Is this a fraud case? … read more
