I am the purchaser of Ohio real estate in a contract, the seller sold to another buyer without my knowledge while we had the property under contract. It has transferred on Dec 20, 2017 what is our recourse ? It was a commercial property.

Assuming you have a written contract for the purchase signed by the seller, you sue them for breach of contract and to set aside the second sale as fraudulent/improper and then let the second buyer sue them as well for any damages that they have incurred due to the fraud.

Due I have to prove damages or simply just a breach of contract for the value of the contract ?

That depends on what you are suing for.. If you are suing to enforce the contract, then at the end of the day you would get to purchase the property for the agreed on price and the second buyer would sue seller for their damages as their sale would be set aside as improper.

If you are just suing for money damages, you would list your actual damages and then add in whatever you feel are your punitive damages since the seller obviously knew that they were under contract and maliciously ignored that and sold to someone else.

As you know, I represent the Buyer in the above referenced transaction. I have reviewed the contract and its addendums (“Contract”) with my client. Pursuant to Paragraph 11(c), I hereby propose the following modifications: 1. In the event of a conflict between the terms of the Contract and the terms of this letter, the terms of this letter shall control. 2. Seller shall disclose any homeowner insurance claims within the last five (5) years which shall be subject to Buyer's review and approval. 3. This Contract shall be contingent upon the Buyer's lender receiving an appraisal, ordered by the Buyer's lender, showing the value of the Property to be greater than or equal to the purchase price. 4. Line 60 of the Contract shall be modified to insert “not” after the word “shall”. 5. Paragraphs 8(a) and 8(b) shall be deleted and the following inserted in its place: “If Buyer is unable to obtain a written clear to close loan commitment in accordance with the terms specified above on or before July 13, 2017, then Buyer shall have the option to declare the Contract null and void or request an extension of the aforementioned date. Should Buyer request an extension, Seller retains the right to agree to the new proposed mortgage contingency deadline or declare the Contract null and void.
