The allocation of the purchase price is $300,000. $25,000 is for equipment that has mostly depreciated, $25,000 is for the value of the non-compete agreement, and $250,000 is goodwill. I will be receiving no upfront money but the amount will be paid off over 10 years at 10% interest. I know that the $25,000 for the equipment will be put back on my books for this tax year as a capital gain.
