I'm 50% partner in a film production company. I'm not happy

I'm 50% partner in a film production company. I'm not happy with my partner. He can't buy me out because the company has no money, nor will it for some time (if ever). I want to make a film with another friend, and approach an investor (for investment) that invested in one film (the only film) with the production company in question. My partner is insinuating that it's unethical (illegal?) for me to do so, eventhough the investor is my contact, not his. What are my legal rights and responsibilities?
