I'm not sure that your answer provides me with what I was looking for. I signed a contract with the company in regards XXXXX XXXXX of the inventory that I received and how I was to represent the company and pay for the consigned inventory. That pretty well sums up the contract that I had with this company.

Now, what I'm concerned about is a program that this company put together for the independent contractors. The program was called the ROAR program (Rep Outstanding Achievement Rewards) There was no contract signed for this program This program was put together in the year 2005. To qualify for the program a rep had to achieve $ 750,000 in sales. Once this was achieved, the rep was considered to have their first contribution, into the program. Then 3 years from the date of the first contribution was considered to be the Vesting Date. I achieved my first contribution as of July 2006. Based on that my Vesting Date was July 2009.

Recently, I received an email, stating that all amounts that are not vested when the rep's contract is terminated, which would be effective 12/31/2008, will not be paid.

Once again, I state there was no contract signed in regards XXXXX XXXXX ROAR program. This program was designed to encourage reps to work harder and achieve more sales, so that they may earn extra monies for their efforts.

My concern, as I mentioned before, is whether or not a company has the right to place a time period, VESTING DATE, of 3 years and then when they sell their company, they would not have an obligation to pay the amount that was put aside for that rep in this program.

Since no contract was signed in regards XXXXX XXXXX program, all I have is a printout from the company, showing the Account History and how much was to be paid and a page that explains the terms of the various plans that they offered.

Without anything signed, in regards XXXXX XXXXX program, would I have any grounds for entitlement to the monies that were put aside in the program, even though I had not reached the estimated Vesting Date of 7/2209. That's what I need to know?
