I have a toxic founder who is damaging our young pre-rev tech startup during a crucial time. We incorporated in Delaware and working in Fl. With the exception of one small angel investor, he has made no significant IP contributions to the company and has done nothing but alienate the team. He is also incompetent and creates a hostile working environment for employees. Recently he hacked an internal database and exposed sensitive documents. He is a liability to the company. Given the only formal documents we have are our initial AOI, and he is outvoted by the board, can the two other founders fire him with no consequences?

Is this person a shareholder, executive or simply an employee? If he is an employee, is there a term employment contract or this this person an at-will employee?
