is it legal for a one man corporation to accept cash towards an investment in that company without it being official with the gov't, ftc, etc etc?

Yes it is since this is not a public offering. You can sell a share of the company or simply do a promissory note. If you are taking in a partner you need to execute an operating agreement. Getting into business with someone is easy, getting out is always the problem.
