Do you have a shareholders agreement and what does that say is to happen if there is a stalemate and there is not a majority decision?
If you cannot reach an agreement then unless thou have a shareholders agreement that explains what happens when it is 2 against 2 then you have to dissolve the company and move on.
The shareholders have to decide what happens.
