An estate of houses and flats has a board of directors. The agenda for the Annual General Meeting was sent out before the AGM. It did not include a decision at the AGM to coopt 6 directors. Consequently the shareholders not at the meeting had no opportunity of saying they wanted a proper election. Is the decision at the AGM illegal?
