I am 33, She is 38 or 39 not sure. I have wanted to ask her out for sometime,

Her brother in law who is friend of mine has indicated I should ask he thinks I should ask her out.

Problem being I dont she her much do to my work schedule.

She is throwing a kentucky derby party in May that I was invited to by the brother in law.

I think at the Party you should talk to her and get a feel for if she likes you also and then ask for her number and then when you call her then ask her if she would like to go to lunch and see how the lunch goes and think of things to talk about and ask her to get to know her a little better and if things go well after that then make a dinner date.
