Here is the assignment: You are still working for the City of Bigtown's Counsel, and it seems that your work largely involves shooting down the mayor's "creative" ideas to boost tourism. He is taken with the idea of an advertising campaign developed around auctioning Bigtown on eBay! He thinks that no one will take the auction seriously but that people will come to Bigtown to satisfy their curiosity. As you and your boss are rolling your eyes at each other, you remember a similar situation - the Pepsi Harrier-Jet case. You offer to provide background information and write an executive summary addressing specific issues around contracts. Seattle Man Loses in Battle With Pepsi for Harrier-Jet Prize LEAD STORY-DATELINE: Wall Street Journal, August 9, 1999. John D.R. Leonard took PepsiCo seriously when one of their "Pepsistuff" commercials made an offer of a Harrier jet, the famous high-tech "jump jet" used by the U.S. Marines. In a TV commercial that aired in 1995, Pepsi jokingly included the Harrier as one of the prizes that could be received with a "mere" 7 million Pepsi points. While that sounds like a lot of points to get from drinking Pepsi products (roughly 190 Pepsis a day for 100 years), the company also allowed customers to purchase points for 10 cents a piece. Leonard did the math, and discovered that the cost of the 7 million points needed for the jet was a mere $700,000. He then put together a business plan, raised the $700,000 from friends and family, and submitted 15 Pepsi points, the check, and an official order form along with a demand for the Harrier jet. PepsiCo wrote back, stating: "The Harrier jet in the Pepsi commercial is fanciful and is simply included to create a humorous and entertaining ad. We apologize for any misunderstanding or confusion that you may have experienced and are enclosing some free product coupons for your use." The free coupons did not satisfy Leonard, who then took PepsiCo to task in court. Finally, on August 5, 1999, a federal judge for the Southern District of New York held that PepsiCo was only joking when it implied in its ad that it was giving away fighter jets. Judge Wood noted that since the jets sell for approximately $23 million each, "no objective person could reasonably have concluded that the commercial actually offered consumers a Harrier jet." Instead, this was a classic example of "a deal too good to be true." Hi Joanne, How is all. How is the assignment coming? Do you think that you could tweek a MGT110 Unit 3 IP that is due tonight also? The Project is one that had a part 2 to it; I posted what needs to be done on it; if you can do it I will post my finished project to you too so that you can see what needs to be done not much just some things to be put in place. To conclude, the case study of PepsiCo shows that advertising gimmicks like the one we intend to carry out is legal for we cannot consider it a legal contract or a reward situation.

Uniform Law for Computer Info Transactions is Offered National Law Journal, August 30, 1999.

 

After more than 10 years of proposals, revisions and re-revisions, the National Conference of Commissioners on Uniform State Laws (NCCUSL) at long last voted to adopt the Uniform Computer Information Transactions Act (UCITA) on July 29. Like its better known cousin, the Uniform Commercial Code (UCC), this act is intended to promote uniformity in the area of computer information transactions.

"What are computer information transactions?" you ask? Under the language of the model act, they would include any "commercial agreements to create, modify, transfer or distribute computer software, multimedia interactive products, computer data and databases [and] Internet and online information." Members of the NCCUSL have been concerned about the lack of clear, consistent rules governing such transactions in this rapidly expanding part of our national economy (which now accounts for more than a third of the nation's economic growth). Contracts for computer information may be valid in one state while not in others, or terms within such contracts may or may not be enforced, thus creating uncertainty and risk which both sides to such contracts would prefer to avoid.

Five basic themes underlie many of the provisions of the UCITA. They are the following:

  • Computer information transactions involve licenses, not sales.
  • Small companies play a more significant role in the computer information industry than many other industries.
  • Computer information transactions implicate fundamental free speech issues.
  • Freedom to contract and practical commercial context of the transactions are important.
  • The law should facilitate continued expansion of e-commerce and be technologically neutral.

Like the UCC, the UCITA will remain as a model act until it has been presented to each state's legislature and until it is adopted as part of the state's statutory law. That could be its biggest hurdle yet. Several well-funded information industry groups remain opposed to some of the terms contained in the model act's language. Many consumer advocates would also like to see more protection for consumers be added. Because these groups may have more sway over legislatures in some states than others, the result may be a uniform act that differs from state to state. Does that sound unusual? Its not-remember that UCITA's distant cousin, the UCC, also varies from state to state.

  1. Before the UCC and the UCITA, what was one of the first, and most significant, of the U.S. government's attempts to promote uniformity in commercial laws from state to state? (Hint: think of "commerce" and Constitution).
  2. Based on the information presented above, what do you see as the major differences between Article 2 of the Uniform Commercial Code and UCITA?
  3. What is the legal distinction between selling a product and licensing it?
  4. Many of the provisions in the UCITA were first proposed as a modification to Article 2 of the UCC. Why do you think the drafters decided to propose it as a separate and distinct uniform act?

The first class, administrative creditors, were to be paid in full. The second class, unsecured creditors, were to receive 50% on their claims. The IRS was the third class. It was to receive $20,000 on confirmation and the balance in future payments. No creditors voted to accept the plan. The unsecured creditors are impaired because their legal, equitable, and contractual rights are being altered. Can the bankruptcy court confirm the debtor's plan of reorganization? Explain.
