Question

if one of our competitors invites us to lunch and openly tells us they are tired of all the price wars and fee that it has gotten to the point that it has hurt all and they would like to raise there prices to a resonable amount and ask us to to the same but we did not agree on a set price but verbalize where each company felt it needed to be to be healthy and no agreements were signed or again a specific price min or max.    Is this situation price fixing

Yes, the situation you describe would be price fixing and would be illegal pursuant to anti-trust laws. Price fixing is basically a conspiracy between two (or more) sellers with the purpose to coordinate pricing for their mutual benefit. The situation you decribe fits that definition even without exact details being agreed upon. The agreement need only be implied.
