thanks for your answer. my next question to you is that i have been summoned to appear before my local Irs officer on monday 1/12/09 over my personal taxes that i owe from 8+ years ago,but there trying to involve my s-corp,which makes approx 5000,00/year net,after deductions,ect..then is split up to shareholders (2).My cpa said that i dont have to answer any questions or sign anything during the meeting,and reccomended to "ask for a taxpayer advocate" at the meeting.will this stop the meeting,or atleast postpone the process,so i could file a "offer in compremise" ??

Yes, the taxpayer advocate could file an offer in compromise. However, it does not sound as though the IRS can audit you for your personal taxes from 8+ years ago unless they started the audit over a year ago. The audit would be barred by the statute of limitations. This is what I would bring up to the taxpayer advocate. Good luck!
