Out of web research I found one link by name IBE (institute of business ethics) which comprehenseively explains about having corporate code of ethics and the steps to be taken to create corporate code of conduct. The link completely answers all aspects of your question. It has got FAQ (frequently asked questions) which explains all aspects of code of ethics and code of conduct.
