I filed a pro se claim against a food co-op for an unpaid debt. Their atty. and I are working on a promissory note repayment extension agreement using the business equipment and inventory as security for the loan. I want the commercial stove included as part of the security, but the atty. says that it is a fixture of the building and is part of a lien on the real property. Is she correct. If not, I'll need some statute/court case to change her mind. Also, I need to know at what point after nonpayment of a scheduled payment do I get to enforce my lien.

I own a company and am in a commission dispute with my salesmen. I want to attempt mediating the issue before they lawyer up. There is a particular attorney who holds a grudge against us and will take their case and will not settle without a full trial. He does not have ethics and has been admonished before. I must avoid them going to this attorney.
That being the said my question is:
If I go and see this attorney and ask him to mediate, or just go to him and talk about it without him accepting retainer ..... can he then represent them against my company or are their rules against him then representing them.
