Where casn i find attorneys well versed in challenging Tennessee corporations by-laws provision whereby the corporation reserve a right of first refusal to acquire any stock on the same terms and conditions a shareholder has greed to with an outside buyer? I have been told by one competent attorney the RoFR provision in the by-laws of the corporation in question is badly drafted.

RoFR provisions in Corporate by-laws and shareholder agreements are usually upheld by the Courts. It would be very hard to disagree with an attorney who has seen the actual provision; however, the term "badly drafted" doesn't say anything about whether it's going to be enforced by a Court or not.
