We operated a dog training franchise doing business under M & J Enterprises/ Bark Busters Dog Training and stopped doing business in Los Angeles California in August 2014 when we moved back to Tucson Arizona. Our final returns were marked "Final", however is their one final step that needs to be completed in regards ***** ***** that needs to be submitted to the State of California to dissolve a C Corp? We can't seem to figure out what is the correct form and how to actually print it out. I went to the SOS website at sos.ca.gov, and searched for terminate entity, and called(###) ###-#### ***** on phone for a long period and no one answered.

Hello, and thank you for submitting your question.

To dissolve a C Corp in CA, you need to hold a shareholder meeting and vote to dissolve the corp. When that's been done, the consent to dissolve needs to be entered in the corporations records. Following that, you can file a Certificate of Election to Wind Up and Dissolve with the Secretary of State; however, it's not required if the vote to dissolve is unanimous.

Once the corporation's obligations have been taken care of, and the assets have been distributed, file a Certificate of Dissolution with the SOS. The form you'll need is "DISS STK". You can download a fillable version of the form by going to Google and typing in "Form DISS STK".
