When XP mode was first released, it had very specific processor requirements.
To remove those requirements (even though it doesn't tell you), you have to download a patch first.
Update for Windows 7 (KB977206)
Give that a try, and then try XP Mode again.

once it got the the next part where it loads virtual pc, but it said the same thing at the end of that part
then it goes back to trying to set up xp mode
evidently this has two phases
first xp mode and then virtual pc setup
Yes, you have to install virtual PC and XP mode.

my start menu "all programs" list windows virtual pc then two sub categories windows virtual pc and xp mode
prior to that there was no windows virtual pc folder in programs

You seem to know your way around installing XP mode pretty well.
just tried it again and it says "could not complete setup. Please try again."
So I'm thinking that it may not be something you're doing

We might be on to something.
If so, there is a hotfix.
But to get it, we have to be sure of the processor in the pc
it has a AMD FX-4100 Box processor and a ASUS M5A97 board

The AMD FX-4100 is an AMD "Bulldozer"
Which is a great processor BTW.

But there is a known issue in XP mode.
AND there is actually a hotfix for it.
I know it seems like I just totally made that up.
But take a look here:
You cannot install Windows XP Mode on a Windows 7-based computer that has an AMD Bulldozer-based multicore processor installed
This is one of those Hotfixes that Microsoft makes you jump through a few hoops to get because it's very specific and they don't want to be responsible for people installing it on systems that do not have one of these processors, so I will tell you how to get it.
