My company contracted services with a firm. After delivery

Customer Question

My company contracted services with a firm. After delivery of our services and we have been paid 90% of the contract, their firm is charging us with Rescision and are claiming back their 90% payment. We did not agree to give back their payments since we already have rendered our services. Can they pursue their case in court?

Hello and thank you for the question. There is no basis for the claim. The limited exception is where there was a serious and material breach of terms agreed to and the services had no value. The burden would be on them to prove it. If they never complained about the services, that would tend to support lack of breach.
