I would like to dissolve a LLC partnership (in GA) that I've had with a close friend for over 2 years. When we started the company, we mistakenly did not create an Operating Agreement nor did we create any legal paperwork as to how to dissolve or buy out a partner should be decide to. What are the steps I should take to buy out my partner? We're on good terms and I have no intention of screwing him over or taking advantage. I just want to make sure I do things right and don't get taken advantage by being the nice guy.
