Colorado C corp. If we have to go under, is there any liability

This answer was rated:

Colorado C corp. If we have to go under, is there any liability for either board members or stock holders for bad debt? in other words, can anyone who the company owes come back in any way such as liens, attempts to get assets etc. to board members and/or stock holders?
If you are filing a personal bankruptcy, you would schedule the value of the stock.
If you are filing, you should list any debts that you signed a personal guarantee on.
If the company disolves, and there were no guarantees, then nothing should pass thru to the board, absent a suit to pierce the corporate veil.
